1 Name:

1.1 Independent Norwich City Supporters Club

2. Mission Statement

The Association exists solely as a focal point for supporters of Norwich City Football Club, regardless of their location or ability to attend games, and to negotiate discounts for and provide benefits for its members.


3. Membership

3.1 Membership of the Independent Norwich City Supporters Club is open to all supporters of Norwich City Football Club.


3.2 The Independent Norwich City Supporters Club's membership runs from the date of joining and lasts for 12 months.

4. Governance

4.1 AGM

4.1.1 An Annual General Meeting (AGM) of members is held in the forty-two days from September 1st each year and twenty-one days notice (in writing via post or electronic mail) must be given to members; only members whose membership fees are fully paid up and who have been members for at least three months are eligible to vote at AGMs.

d) To receive and adopt the Chairman's Annual Report.

e) To receive and adopt the Audited Accounts.

f) To elect the Chairman, Secretary and Treasurer plus a maximum of 10 Committee Members

4.1.3 Members under the age of sixteen at the start of their current membership are not eligible to serve on the Committee.

4.1.4 Nominations for Officers and Committee Members must be received (via post or electronic mail only) by the Secretary no later than fourteen days prior to the date of the AGM and should be proposed and seconded by those with voting rights. Nominees must consent to their nomination.

4.1.5 A full and complete annual financial report will be available for members of the Independent Norwich City Supporters Club at each AGM.

4.1.6 An Extraordinary General Meeting (EGM) will be convened at the request of at least ten per cent of the members. Such requests must be made in writing via post or electronic mail. The Committee will then arrange an EGM with the normal twenty-one days notice.


4.2 Roles & Responsibilities

4.2.1 There are three Officers of the Independent Norwich City Supporters Club on the Committee - Chairman, Secretary and Treasurer; no Officer may hold more than one of these posts simultaneously. If for any reason an Officer becomes unable to continue in their role, the Committee will fill the vacancy as they see fit. Additionally there will be a maximum of 10 elected Committee Members.

4.2.2 An Honorary President and Honorary Vice-Presidents may be appointed
at the discretion of the Committee. These will be ex officio Committee Members who have no voting rights.

4.2.3 The Chairman presides at all Committee meetings and is responsible for their proper conduct and for the prompt carrying out of any resolutions made in them. The Chairman has a casting vote.

4.2.4 The Treasurer is responsible for the funds of the Independent Norwich City Supporters Club and will provide any details of income and expenditure as are deemed necessary by the Committee.

4.2.5 The Committee may co-opt any member provided that Paragraph 4.1.3 is adhered to.

4.2.6 The Committee may nominate sub-committees for specific tasks; at least one member of any sub-committee must be a Committee Member nominated by the Committee.

4.2.7 The currently serving Officers and Committee Members will retire at each AGM; those who wish to continue serving on the Committee must stand for election in the usual way (see Paragraph 4.1.4).


4.3 Committee Meetings

4.3.1 The Committee must meet at least ten times in each calendar year; sixty per cent of the Committee (Officers plus Committee Members) must be present in order to make any meeting quorate.

4.3.2 Any Committee Member who fails to attend three consecutive Committee meetings without giving an acceptable explanation will be deemed to have resigned from the Committee.


4.3.3 All Committee meetings are minuted and all Committee Members are given copies prior to the next meeting either via post or electronic mail.


5 Financial Control

5.1 The Independent Norwich City Supporters Club's financial year runs from 1 July until 30 June of the following year.

5.2 A professionally qualified auditor will audit the finances annually.

5.3 All Independent Norwich City Supporters Club funds are held in the name Independent Norwich City Supporters Club; two from three nominated Committee Members must sign all cheques issued.

5.4 In the event of the Independent Norwich City Supporters Club closing down, either voluntarily or by compulsion, a properly audited and final statement of accounts will be prepared and given to the members at a specially convened meeting; the disposal of any funds and any other assets will be decided by the members present.

6 Change Control

6.1 Amendments and additions to this constitution can only be made at AGMs.

6.2 Any proposed amendments or additions to this constitution must be received in writing (via post or electronic mail) by the Secretary no later than fourteen days prior to the date of the AGM. Any proposal(s) must be accompanied by the names of two or more members; who must have voting rights (see Paragraphs 4.1.1 and 4.1.3).


6.3 The Committee is the sole interpreter of this constitution (apart from Paragraph 6.2) and there is no appeal at law or otherwise on any Committee decision.
